DLF THRIVE Website Terms of Service

The terms that govern your access to and use of the DLF THRIVE Website and related services.

Introduction

These Terms of Use govern your use of the DLF THRIVE Website, including content, updates, and new releases (“Website”). The Website is a service catalogue that allows users to explore and navigate DLF’s services and partners’ (“Partners”) services. It further allows users to access external links to avail these services directly from DLF and its Partners (collectively, “Services”). The Services displayed through the Website are of the nature of hospitality and include but are not limited to availing services, making reservations, bookings or joining communities. These services may be provided by DLF or its Partners.

Acceptance of the Terms of Use

Please read these Terms of Use carefully. By accessing or using the DLF THRIVE Website, you agree to be bound by the terms of use set out below (as revised from time to time) (“Terms”) and conclude a legally binding contract with DLF Limited and our affiliates (hereinafter referred to as “we”, “us” or “our”). If you do not agree with any part of these Terms, you must not use the DLF THRIVE Website. We reserve the right to update these Terms periodically, and we encourage you to review them regularly. Your continued use of the DLF THRIVE Website after any updates constitutes acceptance of the revised Terms.

Subject to compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the DLF THRIVE Website solely for informational purposes and in accordance with the intended functionality of our Services.

Eligibility

You may use the DLF THRIVE Website in accordance with these Terms and our Privacy Policy. The DLF THRIVE Website and Services are intended for individuals who are at least eighteen (18) years old or the legal age of majority in their jurisdiction. Use and Protection of Intellectual Property Rights

All intellectual property in relation to the DLF THRIVE Website, including any software, techniques and processes used, and any trademarks, logos, images, material, content, designs, information and other content available on the DLF THRIVE Website, belongs exclusively to us or is licensed to us. By no means is any proprietary right or license in any intellectual property implied or expressly granted by us to you or any other user of the DLF THRIVE Website.

You shall not copy, decompile, reverse engineer, or otherwise attempt to discover any source code, license, use or assign any intellectual property in the DLF THRIVE Website; copy any logos, brand names, marketing or branding material or pictures from the DLF THRIVE Website; remove any copyright and other proprietary notices contained in any content on the DLF THRIVE Website; or use spiders, crawlers or robots for the purpose of accessing the DLF THRIVE Website or any content on it.

Limitation of Liability

In no event shall we, our officers, shareholders, subsidiaries, associate companies, directors, employees and agents, partners, co-branders, licensors, licensees, consultants or contractors be liable to you or any third party for any special, incidental, indirect, consequential or punitive damages or losses whatsoever, or damages for loss of data or profits, goodwill and/or other intangible loss, whether or not foreseeable and regardless of whether we have been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence or other tortious action, or any other claim arising out of or in connection with your use of, or access to, the DLF THRIVE Website or Services.

We shall not be responsible for any business loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure) or any other indirect or consequential loss that is not reasonably foreseeable to both you and us when you commenced using the DLF THRIVE Website.

Disclaimer

The DLF THRIVE Website and Services, including all content, software, functions, material and information made available or accessible through the DLF THRIVE Website, are provided “as is”. We make no representation or warranty of any kind for the content, software, functions, material and information available or accessible through the Services and/or DLF THRIVE Website.

We do not warrant that the functions contained in content, information and materials on the DLF THRIVE Website, including without limitation any third-party sites or services linked to the DLF THRIVE Website, will be uninterrupted, timely or error-free; that defects will be rectified; or that the DLF THRIVE Website or servers that make such content, information and materials available are free of viruses or other harmful components.

None of the content or Services available on the DLF THRIVE Website shall be deemed to be any kind of advice by us. If you receive any information, recommendations or advice from any third person, Partner, employee or representative of a Partner, such information, recommendations or advice are strictly in the personal capacity of that person, and you may act upon them at your sole risk and cost. We shall in no way be liable or responsible for any transactions carried out by you in pursuance of such information, recommendations or advice.

Privacy Policy

Our Privacy Policy outlines what Personal Data we collect when you sign up with us or use our Website, why we collect this Personal Data and how we process that Personal Data to provide our Services. Violation of Terms of Use / Suspicious Activity

General

No joint venture, partnership, employment or agency relationship exists between you, us or any third party as a result of the contract contained in these Terms. If any provision of these Terms is held to be illegal, invalid or unenforceable, in whole or in part, under any law, such provision or part thereof shall to that extent be deemed not to form part of these Terms, but the legality, validity and enforceability of the other provisions shall not be affected.

We shall not be liable for any acts or omissions on the part of third parties or our Partners, including inter alia deficiency in Service, wrong delivery or communication of Services, quality, incorrect billing, inability to use facilities, time taken to close any Service request and similar matters. The Partners shall be solely responsible for any warranty or guarantee of the Services and facilities provided by them to users of the Website and Services.

Force Majeure

We shall not be responsible for any delays or defaults in the performance of our obligations due to contingencies beyond our control. Such contingencies include but are not limited to cyber security incidents, fires, floods, civil commotions or riots, earthquakes, cyclones, tsunamis, wars, strikes, pandemics or health calamities, terrorist actions, system failures, breakdown in internet links and regulatory actions by the government.

Governing Law and Jurisdiction

The DLF THRIVE Website and Services, all your interactions with the DLF THRIVE Website, and our relationship shall be governed by the laws of India, without regard to conflict of law principles. You agree that any claims arising out of use of information from the DLF THRIVE Website or Services shall be governed by the laws of India and only the Courts in Gurugram, India, and no other courts, shall have jurisdiction over the same.

Termination

We may immediately, in our sole discretion and without notice, terminate these Terms or suspend your use of the DLF THRIVE Website if you fail to comply with these Terms, the Privacy Policy or any other agreement, law or regulation. Upon termination, you must immediately stop using the DLF THRIVE Website; any outstanding payments or Services due to you shall be dealt with manually by authorised personnel or Partners. Any termination of these Terms shall not affect a Partner’s rights to payments or fees due and payable by you for Services availed. This section, along with the terms of the Privacy Policy, will survive and remain in effect even if these Terms are terminated.

Assignment

You shall not transfer or assign any of your rights and obligations arising from these Terms. You agree and acknowledge that we may assign or transfer our rights and obligations as a whole or in part to an acquirer of DLF or any other DLF entity or their respective equity interest, business or assets, or to a successor entity resulting from any corporate action including mergers or demergers.

Severability

If any part of these Terms is determined to be invalid or unenforceable to any extent, that provision shall be severed from the remaining provisions, which shall continue to be valid and enforceable to the fullest extent permitted by law.

Partner Terms and External Websites

Our DLF THRIVE Website may contain links to third-party websites or services operated by our Partners. These external websites are governed by their own terms of use and privacy policies, which may differ from ours. We do not endorse, control or assume responsibility for the accuracy, completeness, legality or content of third-party websites.

You are encouraged to review the respective Partner’s terms of service and privacy policy before engaging with their services. Accessing external links from our DLF THRIVE Website is done at your own risk, and we disclaim any liability for any loss, damage or disputes arising from interactions with third-party services. If you have any concerns regarding a Partner’s service, we recommend contacting them directly for further support.

Support

We support and encourage all users to contact us for questions, concerns or suggestions relating to these Terms, our Privacy Policy or practices involving use of data. We are not responsible for Partner-related support, and users should review the respective Partner’s terms of use or terms of service and privacy policies for details on their offerings.
